By accessing or using archerclay.com (the "Site"), operated by Archer & Clay, LLC, a Pennsylvania limited liability company ("Archer & Clay," "we," "us," "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Site.
These Terms apply to all visitors, users, and customers of the Site, including anyone who submits our contact form or places an order through our Products page.
Browsing this Site, submitting our contact form, or requesting a consultation does not, by itself, create a client, consulting, business associate, or professional services relationship between you and Archer & Clay. An actual medical billing, coding, credentialing, or practice management engagement — including its scope, fees, term, and any Business Associate Agreement — is governed exclusively by a separate written services agreement signed by both Archer & Clay and your practice. Nothing on this Site should be read as an offer to perform services on any specific terms; specific terms come only from that signed agreement.
If anything in that separate services agreement conflicts with these Terms on a matter it covers, the services agreement controls for that matter.
Subject to these Terms, Archer & Clay grants you a limited, non-exclusive, non-transferable, revocable license to access and view the content on this Site for your own personal or internal business informational purposes. You may not:
Copy, reproduce, republish, or redistribute Site content for commercial purposes without our written permission.
Modify or create derivative works from Site content.
Use any automated system (bot, scraper, or similar) to extract data from the Site, other than standard search-engine indexing.

Our Products page sells forms, envelopes, and software licenses through our online store. When you place an order:
You represent that the information you provide (name, billing/shipping address, contact details) is accurate and that you're authorized to use the payment method provided.
We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or inventory issues, and will refund any payment already collected for a canceled order.
Physical products (forms, envelopes): may be returned within 30 calendar days of delivery if unused and in original condition. Contact [CONTACT EMAIL] to initiate a return; return shipping costs are the customer's responsibility unless the item arrived damaged or incorrect.
Software products/licenses: are non-refundable once delivered, downloaded, or a license key has been issued, except where required by law.

To the fullest extent permitted by law, Archer & Clay and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or goodwill — arising out of or related to your use of, or inability to use, this Site, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory on which a claim is based (contract, tort, negligence, or otherwise).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify and hold Archer & Clay harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.

Agreement to arbitrate. Except for claims that qualify for small claims court or claims for injunctive relief to protect intellectual property or confidential information, you and Archer & Clay agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any purchase made through the Site will be resolved by binding individual arbitration, rather than in court, except as set out below.
Arbitration rules. The arbitration will be administered under the rules of the American Arbitration Association (AAA) applicable to consumer or commercial disputes, as appropriate, and will take place in Pennsylvania or another mutually agreed location, or may be conducted by phone, video, or written submissions where permitted by AAA rules.
Class action waiver. You and Archer & Clay each agree that any arbitration will be conducted only on an individual basis, and not as a class, consolidated, or representative action.
Informal resolution first. Before filing an arbitration demand, you agree to contact us at [CONTACT EMAIL] and attempt to resolve the dispute informally for at least 30 days.
Severability of this clause. If any part of this arbitration section is found unenforceable, the remainder will still apply, except that if the class action waiver is found unenforceable, the entire arbitration section will not apply, and the dispute will proceed in court under Section 12's governing law
We may suspend or terminate your access to the Site at any time, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including Sections 4 (Intellectual Property), 8–10 (Disclaimers, Limitation of Liability, Indemnification), and 12–13 (Governing Law, Dispute Resolution) — will survive.
We may revise these Terms at any time. The effective date at the top will always reflect the current version. Where you have a separate signed services agreement, its own amendment terms govern that agreement.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and any signed services agreement, constitute the entire agreement between you and Archer & Clay regarding the Site.
